These Terms of Use (“Terms of Use”) govern the use of the digitally-based curriculum vitae (“CV”) creation tool and dashboard that EasyCV, LLC (“EasyCV”, “our”, “us” or “we”) makes available to individual residents, fellows, and faculty (“you” or “your”) and to departments, divisions, or hospitals within  medical institutions (“Institutions”) via our website located at www.EasyCV.me (the “Site”). 

By accessing or using the Site, you (a) expressly accept all of the provisions of these Terms of Use, and (b) consent to our collection, maintenance, use, disclosure, and processing of your personal information, in accordance with our Privacy Policy.  

IF YOU DO NOT ACCEPT THESE TERMS OF USE, THEN YOU MAY NOT USE THE SITE. If you accept these Terms of Use but later decide that you want to terminate your account, please contact Customer Support at support@EasyCV.me, and we will verify and complete your request.

1. About EasyCV’s  Site

The Site enables: 

• You, or your designated users, to create, upload, transmit, display, manage, and access your personal information (including without limitation, name, address, phone number, and email), educational background, training (such as fellowships, residencies, etc.), current and prior work experiences, committee service,  military service, community service, teaching responsibilities, lectures, publications, and other data typically included on a curriculum vitae (“User Data”);

• Your User Data to be correctly formatted in accordance with the requirements of the Institution(s) that you have authorized or linked to your account (“Authorized Institutions”) to your User Data;

• Authorized Institutions  to search User Data, create and export reports on User Data, download, and transmit User Data at an individual or aggregate level for purposes of reporting for the individual user or Authorized Institution;

• Any other features, content, or applications that we may offer from time to time.

• We make certain of these features available only to users who register for the Site and only for the duration of their access to and use of Site.  We reserve the right to change, suspend, or discontinue the Site at any time and for any reason at our discretion. 

2. Your Account and Use of the Site

2.1. Registration and Enrollment.  The Site is available only to individuals who complete the registration process. You represent and warrant that all information that you submit to us is complete, accurate, and truthful. If you allow a third party to assist you in providing any information to us, including in registering for the Site, you represent and warrant that you have reviewed that information and confirmed that it is complete, accurate, and truthful prior to its submission. You also agree to maintain the information that you submit to us (or that any third party submits on your behalf) and to update it promptly for any changes. Failure to keep your information current may constitute a breach of these Terms of Use, which may result in termination of your account.

In registering for our Site, you also will set an account password. You are solely responsible for setting your password and for maintaining its confidentiality. You agree to notify us in writing immediately of any unauthorized use of your password or account or any other security breach of which you become aware.

2.2. Your Use of the Site.  We grant to you a personal, non-transferable, non-sublicensable, revocable, limited right to access and use our Site in accordance with these Terms of Use. You agree to abide by all copyright notices, information, and restrictions contained in the Site. You agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publish, adapt, edit, create derivative works from, or otherwise exploit the Site.   EasyCV reserves all rights in the Site.

2.3. User Data.  Subject to these Terms of Use, you (or your designated user) consent and grant to EasyCV a non-exclusive, transferable, sublicensable, royalty-free, worldwide right and license to display, reproduce, translate, transmit, modify, and otherwise use and incorporate your User Data into the Site, from which Authorized Institutions may display, access, modify and otherwise use your User Data, alone or aggregated with other users’ data, for their internal business purposes. You are responsible for the authenticity, accuracy, completeness, and provision of your User Data. We reserve the right to remove any User Data from the Site at any time if you breach these Terms of Use. We also reserve the right to access, preserve, and disclose any information that we reasonable believe is necessary (i) to satisfy any applicable law, regulation, legal process, or governmental request; (ii) to detect, prevent, or otherwise address fraud, security or technical issues; (iii) to respond to your support requests; or (iv) to protect or enforce the rights of EasyCV, our users, or the public.

2.4. Email Communications.  As a condition to accessing or using the Site, you must provide us with your email address. You agree that we may send emails to you unless you choose to unsubscribe from our emails at any time. 

3. Your Personal Information and Protected Health Information.  In using our Site, you are providing us with personal information.  Our practices regarding privacy of personal information and communicating with users in operating the Site are described in our Privacy Policy. Please review our Privacy Policy to learn about what information we collect from you, how we use and share it, and how we communicate with our users.  Our Privacy Policy can be accessed here:  Privacy Policy.    

4. Fees and Payment. If you are not affiliated with an actively subscribing Institution, you must pay fees to use the Site. You agree that EasyCV may charge your credit card or other payment mechanism selected by you and approved by EasyCV all amounts due and owing for access to the Site. If the payment method you provided for payment is declined or if a payment was not successfully made by you, you remain responsible for any uncollected amounts. If a payment is not successfully made, we may suspend your access to the Site until we have successfully charged a valid payment method.

Your subscription shall automatically renew on the anniversary of your first payment unless you cancel your subscription from the “Manage Billing” menu of the Site. If you cancel your subscription, you will continue to have access to the Site through the end of the paid subscription period.

EasyCV may change prices at any time, including charging for access to the Site that was previously offered free of charge; provided, however, EasyCV will provide you with prior notice and an opportunity to terminate your account if EasyCV changes the fees to access to the Site.

5. Termination

We may terminate your access to the Site if we find that you have breached these Terms of Use.  Upon termination of your right to use the Site, all licenses and other rights granted to you by these Terms of Use will immediately terminate.

If you wish to terminate your account and delete your User Data included in the Site, you may do so by contacting our customer support team at support@EasyCV.me.  If you wish to have a copy of your User Data prior to your account being deactivated, you should download your User Data from the Site.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability

6. Ownership 

6.1. EasyCV Site and Materials.  The Site and its respective content, including its “look and feel” (e.g., text, graphics, images, logos), proprietary content, information and other materials accessed through or on the Site, including all right, title and interest in the same (including any and all patent, copyright, trade secret, trademark, know-how and any other intellectual property rights therein), are owned by EasyCV, LLC and its licensors, and are protected under intellectual property, copyright, trademark and other laws. You agree not to take any action(s) inconsistent with such ownership interests.  Neither these Terms of Use nor your use of any aspects of the Site grants you any right, title, or interest in or to, or any license to reproduce or otherwise use, any trademarks or registered trademarks of EasyCV, LLC.

6.2. Your User Data. You retain all ownership of your User Data; however, you have granted us and Authorized Institutions a right to use your User Data under Section 2.3 as part of the Site.  

7. Warranty Disclaimer

THE SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. 

EASYCV HAS NO RESPONSIBILITY OR LIABILITY FOR ANY DECISIONS REGARDING YOUR APPLICATIONS, INTERVIEWS, AND OTHER ACADEMIC OR PROFESSIONAL MATTERS THAT YOU MAY USE THE SITE TO FACILITATE, WHICH ARE HANDLED BY EXTERNAL PARTIES, NOT EASYCV. 

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EASYCV OR ITS LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR LOSS OF PROFITS, REVENUE OR INCOME, OR FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THESE TERMS OF USE OR THE USE OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EASYCV’S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS OF USE, WHETHER BASED ON BREACH OF WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED TWO HUNDRED DOLLARS ($200). 

9. Miscellaneous

9.1. Governing Law.  These Terms of Use shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, excluding its conflicts of law rules.  

9.2. Your Consent to Receive Notices.  As part of using the Site, you agree to receive all terms, notices, disclosures, and other communications that we provide to users in electronic form, including all communications that we are required by law or these Terms of Use to provide to you. You also acknowledge that receipt of these communications in electronic form satisfies any legal requirement that the communications be in writing. 

9.3. Entire Agreement. These Terms of Use constitute the entire agreement between you and us with respect to the Site and supersede all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and us with respect to the Site. If any provision of these Terms of Use is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Use will remain in full force and effect. The failure of either party to exercise in any respect any right provided for in these Terms of Use shall not be deemed a waiver of any further rights under these Terms of Use.

9.4. Injunctive Relief. You agree that a breach of these Terms of Use will cause irreparable injury to EasyCV for which monetary damages would not be an adequate remedy and EasyCV shall be entitled to equitable relief in addition to any remedies it may have hereunder or at law without a bond, other security or proof of damages.

9.5. Assignment. These Terms of Use will inure to the benefit of and will be binding upon each party’s successors and assigns. These Terms of Use and the licenses granted hereunder may be assigned by EasyCV but may not be assigned by you without the prior express written consent of EasyCV. Any attempt by you to assign these Terms of Use without the written consent of EasyCV shall be null and void. 

9.6. Independent Contractors. Nothing contained in these Terms of Use will be deemed to constitute either party as the agent or representative of the other party or both parties as joint venturers or partners for any purpose. 

9.7. Modifications. We may occasionally update these Terms of Use. When we do update these Terms of Use, we will also revise the “Last Updated” date at the top of these Terms of Use. If we make changes to these Terms of Use on the Site and we may also send emails to our users who have created an account containing a link to the revised Terms of Use. If you continue to use the Site after we post an update to these Terms of Use, you indicate your acceptance of the updated Terms of Use.  If you disagree with the modified Terms of Use, you should stop using the Site.
